Terms of Service

1. Acceptance of Terms

By accessing or using PremiereIQ ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to modify these terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Service

PremiereIQ is a Creative Premiere Intelligence Platform that enables organizations to collect, analyze, and visualize audience feedback for creative premieres including film screenings, music listening parties, advertising tests, and similar events.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old or have legal authority to bind your organization
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription Plans & Billing

4.1 Event-Based Pricing

  • Starter: $1,200 per event (30-day access)
  • Growth: $3,500 per event (90-day access)
  • Pro: $6,500 per event (1-year access)

4.2 Annual Passes

  • Studio Pass: $15,000/year for unlimited events (single brand)
  • Agency Pass: $12,000/year base + $2,000 per additional workspace

4.3 Payment Terms

All payments are processed through Stripe. Event licenses must be paid before activation. Annual subscriptions are billed annually in advance. Refunds are not provided for partial periods.

5. Fair Use Policy

While we do not enforce hard attendee caps, all plans are subject to fair use. Excessive usage that impacts service quality may result in:

  • Request to upgrade to a higher tier
  • Temporary rate limiting
  • Account suspension in extreme cases

6. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer or decompile any part of the Service
  • Use automated systems to access the Service without permission
  • Collect feedback for illegal content
  • Resell or redistribute the Service without authorization

7. Intellectual Property

7.1 Our Property

The Service, including its design, features, and content, is owned by PremiereIQ and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials.

7.2 Your Content

You retain ownership of content you upload (event data, creative assets, branding). By using the Service, you grant us a limited license to process and display your content as necessary to provide the Service.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. You are responsible for obtaining any necessary consents from attendees before collecting their feedback.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless PremiereIQ, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

12. Termination

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Fail to pay applicable fees
  • Engage in fraudulent or abusive behavior

Upon termination, your right to use the Service ceases immediately. You may export your data before termination.

13. Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Location to be specified]. You waive any right to participate in class action lawsuits.

14. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Severability

If any provision of these terms is found unenforceable, the remaining provisions shall continue in full force and effect.
